Terms of Service

These Terms of Service ("Terms") govern your access to and use of Mediorum Technologies' hospital management software platform ("Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Mediorum platform, you confirm that you are authorised to enter into this agreement on behalf of your organisation and that your organisation agrees to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Mediorum provides a cloud-based Hospital Information System (HIS) including modules for ADT, OPD, IPD, Billing, Pharmacy, Laboratory, Nursing, Diagnostics, and Analytics. The Service is provided on a subscription basis and may be updated or modified at any time.

3. Account Responsibilities

You are responsible for: - Maintaining the confidentiality of your login credentials - All activities that occur under your account - Ensuring all users accessing the Service comply with these Terms - Promptly notifying us of any unauthorised account access Each hospital or organisation must maintain a separate account. Sharing accounts across organisations is not permitted.

4. Acceptable Use

You agree not to: - Use the Service for any unlawful purpose or in violation of applicable healthcare regulations - Attempt to gain unauthorised access to other accounts or system resources - Reverse engineer, decompile, or extract source code from the platform - Upload malicious code, viruses, or disruptive data - Use the Service to store or transmit data in violation of patient privacy laws

5. Data Ownership & Privacy

You retain ownership of all patient and organisational data you input into the Service. Mediorum acts as a data processor on your behalf. We do not sell or share your data with third parties except as required by law or as described in our Privacy Policy. Please review our Privacy Policy for full details on data handling.

6. Subscription & Payment

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms or required by applicable law. We reserve the right to modify pricing with 30 days' notice. Failure to pay may result in suspension of your account.

7. Uptime & Support

We target 99.9% monthly uptime for the core platform, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance. Support is available 24/7 via phone, WhatsApp, and email for critical issues.

8. Limitation of Liability

To the maximum extent permitted by law, Mediorum shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or patient records, arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.

9. Termination

Either party may terminate the subscription with 30 days' written notice. Upon termination, you will have 30 days to export your data. After this period, data may be permanently deleted. We reserve the right to terminate accounts that violate these Terms immediately without notice.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
